Terms of Service

The rules for using Signet. Written to be read, not skimmed past. Section 15 contains a binding arbitration agreement and a class-action waiver that affect your legal rights.

1. Agreement

By creating a Signet account, accessing the Service, or signing a document sent through Signet, you agree to these terms. If you are accepting on behalf of a company, you confirm you are authorised to bind that company, and “you” means that company. You must be at least 18 years old and legally able to enter contracts.

2. The service

Signet lets you upload documents, place fields, send them for signature, and verify a tamper-evident audit trail of what happened. We may add, change or retire features, but we will not remove your ability to export your completed documents and evidence records while your account is active.

3. Your account

You are responsible for the accuracy of the information you provide, for all activity under your account, and for keeping your credentials private. Tell us promptly if you believe your account has been accessed by someone else.

4. Acceptable use

  • Do not upload content you have no right to distribute.
  • Do not impersonate another person or forge a signer identity.
  • Do not attempt to alter, delete or forge audit-trail entries.
  • Do not probe, scan, reverse engineer or overload the Service or its infrastructure.
  • Do not use the Service for unlawful, deceptive, harassing or infringing purposes, or in violation of export control or sanctions laws.

5. Electronic signatures and consent to electronic records

By using the Service you consent to transact electronically and to receive records, disclosures and notices in electronic form under the federal ESIGN Act and applicable state Uniform Electronic Transactions Act (UETA) statutes, including New York’s Electronic Signatures and Records Act and Illinois’ electronic commerce statute. You may withdraw consent by closing your account. To access records you need a modern browser, internet access and the ability to view and retain PDFs.

Signet records consent, intent, timestamps and document hashes so that an electronic signature can be evidenced later. Certain records — including wills, codicils, testamentary trusts, some family-law and court documents, certain notices of default, foreclosure, eviction, utility or insurance cancellation, and documents required to accompany hazardous materials — are excluded from ESIGN/UETA or subject to state-specific requirements. You are solely responsible for determining whether an electronic signature is valid and sufficient for your document, transaction and jurisdiction, and for any notarization, witnessing or recording requirements. Signet provides technical controls; it does not provide legal advice.

6. Your content and licence

You keep all rights to the documents you upload. You grant us a limited, non-exclusive, worldwide licence to host, store, process, transmit, render, back up and display your content solely as needed to operate, secure, support and improve the Service, and as described in our Privacy Policy. You represent that you have all rights and consents necessary to upload your content and to send it to your recipients. We do not sell your documents.

7. Fees, renewal and cancellation

Paid plans are billed in advance for the period shown at checkout and renew automatically at the then-current price until cancelled. You authorise us and our payment processor to charge your payment method on each renewal. You can cancel at any time from Settings or by emailing us, effective at the end of the current period, and you keep access until then. Where a state automatic-renewal law applies (including California, New York and Oregon), we will provide the notices and an online cancellation method those laws require. Fees already paid are non-refundable except where required by law. Taxes are your responsibility unless we are required to collect them.

8. Fair-use limits and suspension

Plans are subject to published usage thresholds. If your usage materially exceeds them or creates risk for other users, we may throttle, gate or suspend the account after reasonable notice where practicable.

9. Third-party services

The Service relies on third-party infrastructure, email delivery and payment providers. We are not responsible for those providers’ acts or omissions, and your use of any linked third-party service is governed by that provider’s terms.

10. Copyright and DMCA

We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act and may terminate repeat infringers. Send notices, including all elements required by 17 U.S.C. § 512(c)(3), to legal@signet.app.

11. Availability and disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, or that a signature, record or audit trail will be accepted or enforceable in any particular forum. Some states do not allow certain warranty exclusions, so parts of this section may not apply to you.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNET WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR USD $100. These limits do not apply where prohibited by law, including for gross negligence, willful misconduct or fraud where such limits are unenforceable. Some states do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You will defend, indemnify and hold harmless Signet and its officers, employees and agents from third-party claims, damages, losses and reasonable legal fees arising out of your content, your use of the Service, your violation of these terms, or your violation of any law or third-party right.

14. Termination

You may close your account at any time. We may suspend or terminate an account that breaches these terms or creates risk for other users, with notice where practicable. On termination you may export your completed documents and evidence records for a reasonable period. Sections that by their nature should survive termination will survive.

15. Governing law, arbitration and class-action waiver

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules, except that the Federal Arbitration Act governs the interpretation and enforcement of this section. Where a mandatory consumer-protection law of your home state gives you rights that cannot be waived, nothing here limits those rights.

Informal resolution first. Before filing a claim, you and Signet agree to try to resolve it informally by emailing legal@signet.app with a description of the dispute and the relief sought, and to allow 30 days to resolve it.

Binding arbitration. Any dispute not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its applicable Consumer or Commercial Arbitration Rules. Arbitration will take place in the county where you reside or principally do business, or by videoconference or document submission, at your election. The arbitrator decides all issues except that a court decides the enforceability of the class-action waiver below.

Class-action and jury waiver. YOU AND SIGNET AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING, AND THAT EACH WAIVES ANY RIGHT TO A JURY TRIAL. If the class-action waiver is found unenforceable as to any claim, that claim proceeds in court and the rest of this section still applies.

30-day opt-out. You may opt out of arbitration by emailing legal@signet.app with your account email and the words “arbitration opt-out” within 30 days of first accepting these terms. Opting out does not affect any other part of these terms.

Exceptions. Either party may bring an individual action in small claims court, and either party may seek injunctive relief in court to protect intellectual property or confidential information. Nothing here prevents you from filing a complaint with a government agency.

16. State-specific notices

California. Under Civil Code § 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or (800) 952-5210. The Service is provided on a subscription basis as described in Section 7. New Jersey. Provisions limiting liability, disclaiming warranties or requiring indemnification do not apply to the extent they are prohibited for New Jersey residents. All states. If any provision of these terms is unenforceable under the law of your state, it is modified to the minimum extent necessary or severed, and the remaining provisions stay in effect.

17. General

These terms, together with the Privacy Policy, are the entire agreement between us. You may not assign them without our consent; we may assign them in connection with a merger or sale of assets. Our failure to enforce a provision is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control. Notices to you may be sent to your account email.
